This License Agreement applies to the Software: “WhatsApp by WooChat” and other services provided under WooChat.
1. GENERAL TERMS
1.1 Operator — Sole Proprietor Shatalkin A.A., TIN: 026604223300, OGRN: 318028000021843 (hereinafter referred to as the "Licensor").
1.2 Licensee — any individual or legal entity, which has the right to use the Program in its own interest in accordance with the requirements of this Agreement.
1.3 Program — the Program for computers “WhatsApp by WooChat,” which is an objectively presented set of data and commands, including source code, database, audiovisual works, as well as any documentation on its use.
1.4 Use of the Program — use of the functional features and/or launching in the order determined by the user (technical) documentation and this Agreement.
1.5 Authorized User — a user registered by the Licensee in the Program and authorized in the Program at least once.
1.6 Account — an information resource which is an aggregate of data of one copy of the Program with a unique identifier for joint display and use.
1.7 Technical Support — activities performed by Licensor within the limits and scope set by Licensor to ensure the operation of the Program.
1.8 Agreement — this document, under which the Licensor grants the Licensee the right to use the Program under the terms of this Agreement.
2. SUBJECT MATTER OF THE AGREEMENT
2.1 The Licensor grants the Licensee the right to use (a simple non-exclusive license) the Software within its functionality by connecting via the Internet, exclusively for the Licensee’s independent use.
2.2 This Agreement is concluded before or immediately after the beginning of the use of the Software and is valid for the entire term of the Licensee’s lawful use, provided the Licensee properly observes the terms.
2.3 The Licensor grants the Licensee the right to use the Software without territorial restrictions, as stipulated by the laws of the Russian Federation and this Agreement.
3. COPYRIGHTS AND TRADEMARKS
3.1 The Program is protected by intellectual property laws.
3.2 The Program’s algorithms and source codes are the Licensor’s trade secrets. Unauthorized use violates Licensor’s rights.
3.3 The Licensor guarantees full rights to the Software, including the Software documentation.
3.4 Licensee may not remove or obscure any copyright, trademark, or patent information from the Program.
4. TERMS OF USE AND RESTRICTIONS
4.1 The Licensee is granted the right to Register under this License Agreement.
4.2 The Licensee has the right to modify or delete files of the Program only as allowed by law.
4.3 The Licensee may not use the Software for any purposes other than those specified in this Agreement or copy, sell, or resell the Software without permission.
5. TRANSFER OF RIGHTS
5.1 The Licensee may assign rights under this Agreement to another authorized user only once and with full consent.
6. LICENSE TYPES
6.1 Licenses are subscription-based. Payments are deducted from the Licensee’s card.
6.2 A trial version may be used for a limited period without payment.
6.3 The term of the license begins on the day the Account is created.
6.4 Licensor may change license types with 14 days’ notice on woochat.ru.
7. REGISTRATION AND ACCOUNT
7.1 To use the Program, the Licensee must go through the registration procedure, resulting in the creation of an Account.
7.2 The Licensee must provide accurate information when registering. If incorrect information is provided, the Licensor may block or delete the Licensee’s account.
7.3 The Licensee is responsible for maintaining the confidentiality of their password and must notify the Licensor of any unauthorized access immediately.
8. TECHNICAL SUPPORT
8.1 Licensor provides Technical Support for issues related to the Program’s functionality.
8.2 The Licensee has the right to contact the Licensor’s Technical Support without additional payment.
9. LIMITED WARRANTY AND LIABILITY
9.1 The Program is provided “as is” and the Licensor does not guarantee that all functionality will meet the Licensee’s expectations.
9.2 The Licensor is not liable for any damages related to the use or inability to use the Program.
9.3 If errors are found, the Licensor will take reasonable steps to correct them but does not guarantee a specific timeframe.
10. PERSONAL DATA PROCESSING
10.1 The Licensee agrees to provide personal data for processing, including name, email, and phone number.
10.2 The Licensor will take all necessary measures to protect personal data from unauthorized access.
10.3 This consent is valid for the duration of the License Agreement. Withdrawal of consent may limit access to the Program.
11. AMENDMENTS AND TERMINATION
11.1 The Licensor reserves the right to amend this Agreement unilaterally by posting the updated text on woochat.ru.
11.2 The Licensor may terminate the Agreement if the Licensee violates its terms.
12. ADDITIONAL PROVISIONS
12.1 The Licensee is not allowed to use the Program for sending unsolicited emails (“spam”).
12.2 The Licensee is responsible for the content of their Account.
